Acceptance of Terms

By accessing or using the NILmetrics platform, you agree to be bound by these Terms of Service. If you are using NILmetrics on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

If you do not agree to these terms, you may not access or use the platform.

Description of Service

NILmetrics is a business-to-business (B2B) platform that provides NIL (Name, Image, and Likeness) valuation scores, analytics, and market data for college athletes. The platform is designed for institutional use by collectives, brands, agencies, and coaching staffs.

NILmetrics is not a consumer-facing product and is not intended for use by individual athletes.

Account Registration

To access the platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and account credentials.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

Acceptable Use

When using NILmetrics, you agree not to:

• Scrape, crawl, or use automated means to extract data from the platform.
• Redistribute, resell, or sublicense NILmetrics data, scores, or reports to third parties without prior written consent.
• Use NILmetrics data to build or operate a competing product or service.
• Attempt to reverse-engineer the scoring methodology or algorithms.
• Interfere with the platform's operation, security, or performance.
• Use the platform for any purpose that violates applicable law.

Intellectual Property

NILmetrics and its licensors own all rights, title, and interest in the platform, including the NILmetrics Score methodology, scoring algorithms, data aggregation processes, user interface design, and all associated intellectual property.

Your use of the platform does not grant you ownership of any content, data, or intellectual property made available through the service.

Data and Scores

NILmetrics scores and analytics are provided for informational purposes only. They are not guarantees of athlete market value, future performance, or investment returns.

NILmetrics does not provide financial advice, legal advice, or compliance guidance. Scores should be used as one input among many in your decision-making process. You are solely responsible for the decisions you make based on NILmetrics data.

Limitation of Liability

To the maximum extent permitted by applicable law, NILmetrics and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform.

Our total liability for any claim arising from these terms or your use of the platform shall not exceed the amount you paid to NILmetrics in the twelve (12) months preceding the claim.

Termination

We may suspend or terminate your access to the platform at any time if you violate these terms or for any other reason at our reasonable discretion, with notice where practicable.

You may terminate your account at any time by contacting us. Upon termination, your right to access the platform ceases immediately. Provisions that by their nature should survive termination will remain in effect.

Changes to Terms

We may update these Terms of Service from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify active users. Your continued use of the platform after changes take effect constitutes acceptance of the updated terms.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the courts of the applicable jurisdiction.
